Cash, cash equivalents and short-term investments of $470.2 million

PHOENIX, Ariz. – Nov. 4, 2009 – ON Semiconductor Corporation (Nasdaq: ONNN) today announced that total revenues in the third quarter of 2009 were $472.9 million, an increase of approximately 13 percent from the second quarter of 2009. During the third quarter of 2009, the company reported GAAP net income of $29.9 million, or $0.07 per fully diluted share. The third quarter 2009 GAAP net income included net charges of $41.0 million, or $0.09 per fully diluted share, from special items. The special item details can be found in the attached schedules. During the second quarter of 2009, the company reported a GAAP net loss of $3.0 million, or $0.01 per fully diluted share.

Third quarter 2009 non-GAAP net income was $70.9 million, or $0.16 per share on a fully diluted basis. Second quarter 2009 non-GAAP net income was $38.7 million, or $0.09 per share on a fully diluted basis. A reconciliation of these non-GAAP financial measures (and other non-GAAP measures used elsewhere in this release, such as non-GAAP gross margin and adjusted EBITDA) to the company’s most directly comparable measures prepared in accordance with U.S. GAAP are set forth in the attached schedules and on our website at www.onsemi.com.

On a mix-adjusted basis, average selling prices in the third quarter of 2009 were down less than two percent when compared to the second quarter of 2009. GAAP gross margin in the third quarter was 37.2 percent. Non-GAAP gross margin in the third quarter of 2009 was 38.5 percent. GAAP gross margin in the third quarter included a net charge of approximately $6.5 million, or approximately 130 basis points, from special items. The special item details can be found in the attached schedules.

Adjusted EBITDA for the third quarter of 2009 was $110.2 million. Adjusted EBITDA for the second quarter of 2009 was $78.3 million.

“We exited the third quarter of 2009 with the highest level of cash, cash equivalents and short-term investments in the company’s history at over $470 million and the lowest net debt position in the company’s history at approximately $425 million,” said Keith Jackson, ON Semiconductor president and CEO. “As a result of the strong financial performance, financial discipline and cash generating capabilities of the company we increased our cash, cash equivalents and short-term investments by approximately $67 million from the prior quarter. While there is still uncertainty as to how quickly the semiconductor industry will return to pre-recession revenue levels, our revenues continue to improve from the lows of the first quarter of 2009. We also believe that the overall supply chain remains very lean. Our weeks of distribution inventory were at the lowest level in the company’s history at approximately 9 weeks exiting the third quarter of 2009.”

“ON Semiconductor Corporation has recently completed the acquisition of privately-held PulseCore Holdings (Cayman) Inc. in an all cash transaction for initial consideration of approximately $17 million. PulseCore’s previous owners and other stakeholders also have the ability to receive additional earn-out proceeds if, among other things, PulseCore is able to meet certain revenue and gross margin objectives in 2010 and 2011. The acquisition of PulseCore expands ON Semiconductor’s high gross margin clock and circuit protection offerings for the consumer, wireless and computing end-market customers. PulseCore’s capabilities in standard and custom high-speed and low power analog and mixed signal solutions for EMI (electromagnetic interference) reduction also enhance ON Semiconductor’s overall EMI filtering and circuit protection portfolios. In addition, PulseCore’s strong design capabilities and history in India represents ON Semiconductor’s first foray into design activity in that country.”

FOURTH QUARTER 2009 OUTLOOK
“Based upon product booking trends, backlog levels and estimated turns levels, we anticipate that total revenues will be approximately $480 to $495 million in the fourth quarter of 2009,” Jackson said. “Backlog levels at the beginning of the fourth quarter of 2009 were up from backlog levels at the beginning of the third quarter of 2009 and represent over 90 percent of our anticipated fourth quarter 2009 revenues. We expect that average selling prices for the fourth quarter of 2009 will be down approximately one to two percent, sequentially. Starting in the first quarter of 2009, we began recording non-cash interest expense associated with the adoption of FASB Staff Position No. APB 14-1* related to our convertible senior subordinated notes. In the fourth quarter of 2009, we anticipate approximately $8 million of non-cash interest expense associated with this adoption. The following table outlines our fourth quarter 2009 GAAP and non-GAAP outlook.”

Q4 2009 Business Outlook

 * Convertible Notes, Non-cash Interest Expense are included in FASB’s Accounting Standards Codification (“ASC”) Topic 470 Debt.
** Fully diluted share count can vary for among other things, the actual exercise of options or restricted stock units, the incremental dilutive shares from all of the company’s convertible senior subordinated notes, and the repurchase or the issuance of stock or the sale of treasury shares. Please refer to the table on our website for potential changes to the Fully Diluted Share Count.
*** Special Items can include: stock based compensation expense; restructuring, asset impairments and other, net; expensing of appraised inventory fair market value (FMV) step up; amortization of intangibles; goodwill impairments; income tax adjustments to approximate cash taxes; non-cash interest expense and certain other special items as necessary.
**** Regulation G and other provisions of the securities laws regulate the use of financial measures that are not prepared in accordance with generally accepted accounting principles. We believe these non-GAAP measures provide important supplemental information to investors. We use these measures, together with GAAP measures, for internal managerial purposes and as a means to evaluate period-to-period comparisons. However, we do not, and you should not, rely on non-GAAP financial measures alone as measures of our performance. We believe that non-GAAP financial measures reflect an additional way of viewing aspects of our operations that – when taken together with GAAP results and the reconciliations to corresponding GAAP financial measures that we also provide in our news releases – provide a more complete understanding of factors and trends affecting our business. Because non-GAAP financial measures are not standardized, it may not be possible to compare these financial measures with other companies’ non-GAAP financial measures, even if they have similar names.

FINANCIALS

ON Semiconductor Joins Electronic Industry Citizenship Coalition (EICC)

PHOENIX, Ariz. – Nov. 3, 2009 – ON Semiconductor (Nasdaq: ONNN) a leading global provider of high performance, energy efficient, silicon solutions, has become an applicant member of the Electronic Industry Citizenship Coalition (EICC) in order to deliver the shared benefits of a consistent code of conduct framework throughout its global supply chain.

As an EICC applicant member, ON Semiconductor is committed to the organization’s shared Code of Conduct – which is a standards-based approach for monitoring compliance across several areas of activity including environmental, sustainability, labor, health and safety.

“The tools and shared efficiencies available as a member of the EICC will enable us to more efficiently monitor and improve our compliance activities and will also provide us a way in the future to oversee compliance by our worldwide vendors,” said John Nelson, ON Semiconductor executive vice president and chief operating officer (COO). “Aligning with the EICC’s standards will serve to further enhance our expertise in this area and ensure the company remains a responsible, forward-thinking global citizen.”

While ON Semiconductor believes it is in compliance with all EICC guidelines, formal membership in the coalition will assist in confirming compliance and continued improvement. It will also enable ON Semiconductor to progressively begin to apply the EICC code to ensure compliance by key vendors that support the manufacturing of ON Semiconductor products.

“ON Semiconductor has a world-class supply chain and lean in-house manufacturing operations that serve as significant competitive advantages in our highly competitive industry,” said Keith Jackson, president and CEO of ON Semiconductor. “We manufacture, market and ship more than 30 billion units each year. This is a very large number that puts us into a very small category of companies that are capable of doing that kind of volume. We then have to deliver these products - in a very timely fashion - to wherever in the world our customers want them. We have made significant investments in our information technology and global logistics that enable us to respond very quickly to ensure that our customers receive their shipments. Becoming a member of EICC, is one more way we are investing in the ongoing enhancement our supply chain expertise.”

Sustainability Initiatives
Each of ON Semiconductor’s worldwide factories is currently engaged in multiple sustainability projects aimed at conserving water, electricity and fuel. The company’s worldwide manufacturing operations also have well-established recycling and waste minimization programs in place. Current sustainability programs include reuse of rinse water in the fabs, reduction of water flow during equipment idle periods, reduction of overall electricity use, reduction of chemical use by process optimization, recovery of heat from boilers and balancing our air streams, and other programs.

To date, ON Semiconductor has achieved success with its ongoing sustainability initiatives. For more information about ON Semiconductor’s Quality, Environmental, Health and Safety (EHS) and Sustainability programs visit www.onsemi.com/quality.

About EICC
The Electronic Industry Citizenship Coalition was established in 2004 to promote a common code of conduct for the electronics, and information and communications technology (ICT) industry. EICC now includes more than 40 global ICT companies and their suppliers. EICC collaborates with member companies, their suppliers, and stakeholders to ensure continuous improvement. For more information on EICC, visit http://www.eicc.info/.

ON Semiconductor Launches Constant Output Power Audio Amplifier with Integrated Charge Pump as Space-Saving Solution for Portable Devices

Phoenix, Ariz. - September 29, 2009 - ON Semiconductor (Nasdaq: ONNN), a leading global supplier of high performance, energy efficient, silicon solutions has introduced a new Class D Audio Amplifier with an integrated charge pump that provides a cost-effective and space-efficient speaker amplifier solution for applications such as cell phones, digital video recorders and portable speakers.

The NCP2830 is a 1 watt (W) constant power filterless device that delivers continuous, high quality audio output to an 8.0 ohm (Ω) Bridge Tied Load (BTL) with less than 1 percent total harmonic distortion - even if the input voltage varies. This results in longer equipment operating times as the user does not experience reduced audio volume or distortion as the battery depletes.

Housed in a 20-pin QFN package measuring just 3 mm x 3 mm x 0.5 mm, the NCP2830 occupies minimal board space and can also be used where component height is restricted. The integrated design reduces the need for external components and also helps simplify and speed the implementation of a reliable, complete, audio amplifier solution.

The NCP2830 operates from a supply voltage of between 2.7 volts (V) and 5.5 V, has a fast start-up time of 200 micro seconds (µS) and a superior power supply ripple rejection ratio (PSRR) of -88 decibels (dB). Overall efficiency is up to 89 percent and low noise performance is underlined by a signal-to-noise ratio (SNR) of 100 dB. An optimized Pulse Width Modulation (PWM) output stage gives the NCP2830 filterless capability that further reduces the number of external components required.

“The growth and diversity of the market for portable wireless products such as cell phones and PDAs continues at an exciting pace. One challenge the designers are facing is to deliver powerful, yet clear audio output.” said Marie Capron, low voltage power management business unit director with ON Semiconductor. “The NCP2830 achieves the constant high power audio output with the smallest solution size and cost, thanks to the switched capacitor structure that makes the device unique in the market.”

The NCP2830 uses a halogen-free molding compound and is a RoHS compliant, Pb-Free device.

ON Semiconductor Introduces a Fully Integrated Power Line Modem for Smart Meters

PHOENIX, Ariz. – Sept. 1, 2009 - ON Semiconductor (Nasdaq: ONNN), a leading global supplier of high performance, energy efficient, silicon solutions, has introduced the AMIS-49587, the latest member of the company’s power line carrier (PLC) modem family. The AMIS-49587 provides a highly integrated, standard compliant, low power PLC solution for use in applications such as smart electric automatic meter reading and management, street lighting control, smart power plug and building automation. Utilizing ON Semiconductor’s mixed-signal technology allows the AMIS-49587 to combine both the analog modem front end and digital post processing capability in the same integrated circuit.

By offering an integrated single chip solution, the IEC1334 compliant AMIS-49587 helps to simplify designs, lower development and implementation costs, and speed time to market. This new device is based around an ARM7TDMI processor core and includes both the physical interface transceiver (PHY) and the media access controller (MAC) layers whereas most competing solutions require complex embedded software to perform the same functions as the AMIS-49587.Using the spread frequency shift keying (S-FSK) modulation technique coupled with accurate filtering gives robust low data rate communications on power lines over long distances. Half-duplex selectable communication speeds of 2400 bits/sec (baud) can be achieved. A low operating frequency of less than 20 kilohertz (kHz) with an automatic repeater function further supports dependable communications with fewer communication errors than alternative and existing solutions. Synchronization to the mains signal is done via an onboard low jitter PLL, and an embedded filter provides superior white noise and narrowband interference rejection. Direct connection to the host MCU is via a two-wire serial interface.

Due to its high level of integration and the onboard protocol embodiment, the AMIS-49587 accepts high level data inputs and eliminates the need for designers to go into PHY and MAC protocol transmission details. This higher-level interface means that up to 50 percent of the software development effort can be saved leading to a shorter time to market and reduced overall cost.

Driven by governmental regulation and various energy efficiency initiatives, the emerging smart meter market is set to develop at a fast rate. According to IMS Research’s ongoing analysis of the global smart meter market, in 2008, global smart meter shipments reached a market size of roughly 10 million units. The North American market was particularly strong, estimated to have surged by almost 50% in annual growth from 2007. Shipments of smart meters continue to grow at a rough annualized rate of 20 percent.

In addition, the European Parliament decided to roll-out smart meters in all EU Member States by 2022, with 80 percent coverage to be achieved by 2020. According to a Federal Energy Regulatory Commission (FERC) report, smart meters already represent 4.7 percent of installed meters in the United States, which is up from 1 percent in 2006. China has invested in a massive smart grid project with estimated completion by 2020 with the goal to demonstrate how the country is using its energy.

“The ability of the smart meter to produce real-time visibility of electricity and gas consumption will allow utility providers and governments to reduce power loss, optimize consumption and manage demand of valuable energy resources,” said Guido Remmerie, director motion control and energy management products at ON Semiconductor. “The AMIS-49587 from ON Semiconductor supports a complete PLC communication solution to bring the measured power data to the utility companies over the power lines.”

Supplied in a PLCC 28 package, the Pb-free and RoHS compliant AMIS-49587 is pin compatible with the AMIS-30585 – ON Semiconductor’s existing half-duplex S-FSK modem. Operating temperature range for the AMIS-49587 is -40 °C to +80 °C. ON Semiconductor will offer the AMIS-49587 in a QFN package soon.

Pricing and Availability
The AMIS-49587 is currently available and budgetary pricing is $11.00 USD for quantities of 1,000 units and above. AMIS-49587 evaluation kits are available.
ON Semiconductor Introduces Industry’s Smallest Packaged, Best Space Performance Schottky Barrier Diodes for Portable Applications

Phoenix, Ariz. - August 19, 2009 - ON Semiconductor (Nasdaq: ONNN), a leading global supplier of high performance, energy efficient, silicon solutions, has introduced four new 30 volt (V) Schottky barrier diodes. Housed in an ultra-small 0201 Dual Silicon No-lead (DSN2) chip level package, the new Schottky barrier diodes offer portable electronics designers both the industry’s smallest Schottky diode and best-in-class space-performance.

These new Schottky diodes are available with low forward voltage or low reverse current at forward current ratings of either 100 milliamp (mA) or 200 mA - the latter being the industry’s smallest 200 mA rated parts. The new devices provide an ideal solution for the increasing number of applications where board space is restricted such as mobile handsets, MP3 players and digital cameras.

“Optimizing board layout versus system performance in space constrained applications is a constant challenge for our customers.” said Dan Huettl, director and general manager of ON Semiconductor’s Small Signal Division. “ON Semiconductor has responded with the ultra small 0201 DSN-2 Schottky barrier diodes in support of the system designer’s quest for optimized power management in portable applications”.

The Devices
The Schottky diodes feature solderable metal contacts under the package that enable 100 percent utilization of the package area for active silicon. The new 0201 DSN-2 package – which measures a mere 0.6 mm x 0.3 mm x 0.3 mm - provides three times the board space savings compared to the popular SOD-923 (also known as 0402) which measures 1.0 mm x 0.6 mm x 0.4 mm. Providing the lowest leakage currents on the market, the new devices help designers address power losses, efficiency and switching speeds. The new Schottky diodes have a significant performance per board area advantage versus competing parts housed in traditional plastic molded packages. Class-leading power management characteristics also serve to help prolong battery life in portable equipment applications.

The NSR0xF30NXT5G series devices are optimized for low forward voltage drop (Vf), 370 millivolts (mV) at 10 mA, which further reinforces the advanced, high-performance specification of the series. The NSR0xL30NXT5G series devices are designed for low reverse current (Ir), 0.2 microamps (µA) at 10 V reverse voltage and offer very low leakage, extending battery life. With ESD ratings of Human Body Model: Class 3B and Machine Model: Class C coupled with low thermal resistance the two series help support design engineers challenged with incorporating ever-increasing amounts of circuitry into small spaces. The Schottky diodes are RoHS compliant and have an operating temperature range of –40°C to +125°C, making them suitable for use in equipment that is used in harsh indoor and outdoor environments.

ON Semiconductor Moves to New Level of Precision Analog with Ultra-Low-Power, High-Accuracy Analog Voltage Reference ICs

<img src="/site/images/CAT8900-Web.jpg" alt="CAT8900 family of high-accuracy voltage reference integrated circuits (ICs)" hspace="10" vspace="0" border="0" align="right" / >
Phoenix, Ariz. – August 10, 2009 - ON Semiconductor (Nasdaq: ONNN), a leading global supplier of high performance, energy efficient, silicon solutions has moved to a new level of cost-effective, precision analog with its new CAT8900 family of high-accuracy voltage reference integrated circuits (ICs). The CAT8900 family combines very high initial accuracy, low supply current consumption and a stable temperature coefficient, to enable precision performance in test equipment and portable, battery-powered data acquisition systems.

The CAT8900 ICs provide a highly accurate voltage reference, with initial accuracy as high as 0.02 percent [± 0.5 millivolts (mV)] and a stable, 20 parts per million per degrees Celsius (ppm/ºC) temperature coefficient, while maintaining a low maximum supply current consumption of 800 nanoamperes (nA). The low current consumption allows the CAT8900 voltage references to remain powered on continuously, with minimal battery load. The low power consumption, combined with the very high initial accuracy and temperature stability of the devices, makes them ideal replacements for power-hungry, higher cost bandgap references in a wide range of portable applications. These include handheld medical devices, high resolution A/D (analog-to-digital) and D/A (digital-to-analog) converters, and precision regulator systems.

The CAT8900 family offers nine voltage reference choices: 1.024 volts (V), 1.200 V, 1.250 V, 1.800 V, 2.048 V, 2.500 V, 2.600 V, 3.000 V and 3.300 V. Custom voltages are available on request. Each reference is available in four accuracy grades: ±0.5 mV, ±1.0 mV, ±2.5 mV and ±5.0 mV. The devices source or sink up to 10 milliamps (mA) of load current with as little as 50 mV of dropout. In most applications they do not require an output bypass capacitor.

Packaging and Pricing
The CAT8900 precision voltage references come in a Pb-free, RoHS-compliant, 3-lead SOT-23 package. The per unit prices for quantities of 10,000 are: $0.60 USD for ±5.0 mV initial accuracy versions; $0.92 USD for ±2.5 mV initial accuracy versions; $1.55 USD for ±1.0 mV initial accuracy versions ; and $2.44 USD for ±0.5 mV initial accuracy versions. Samples are available now. Projected lead-time for production quantities is currently eight to 12 weeks after receipt of order (ARO).

“After a very challenging period for the industry and ON Semiconductor, we are beginning to see stabilization in each of our end-markets and a resumption of seasonal growth patterns in our consumer-oriented end markets,” said Keith Jackson, ON Semiconductor president and CEO. “The aggressive actions the company has taken to reduce our overall cost structure, including the rationalization of our manufacturing network, puts ON Semiconductor in a favorable position when the industry fully recovers from the current economic downturn. These actions also further improve our leadership position in manufacturing efficiency within the industry. We continue to rationalize our inventory levels having reduced internal inventories for the second consecutive quarter. In total, we have reduced internal inventories by approximately 20 percent, or $66 million, since the fourth quarter of 2008. While there is still great uncertainty on the trajectory of the economic recovery, we believe the worst of the crisis is behind us. As the overall market continues to recover, we believe our ability to increase the cash flow of the business from current levels will strengthen.”

THIRD QUARTER 2009 OUTLOOK
“Based upon product booking trends, backlog levels and estimated turns levels, we anticipate that total revenues will be approximately $445 to $455 million in the third quarter of 2009,” Jackson said. “Backlog levels at the beginning of the third quarter of 2009 were up from backlog levels at the beginning of the second quarter of 2009 and represent approximately 90 percent of our anticipated third quarter 2009 revenues. We expect that average selling prices for the third quarter of 2009 will be down approximately one percent, sequentially. Starting in the first quarter of 2009, we began recording non-cash interest expense associated with the adoption of FASB Staff Position No. APB 14-1 related to our convertible senior subordinated notes. In the third quarter of 2009, we anticipate approximately $8 million of non-cash interest expense associated with this adoption. The following table outlines our third quarter 2009 GAAP and non-GAAP outlook.”

Q3 2009 Business Outlook

* Special Items can include: stock based compensation expense; restructuring, asset impairments and other, net; expensing of appraised inventory fair market value (FMV) step up; amortization of intangibles; goodwill impairments; income tax adjustments to approximate cash taxes; non-cash interest expense and certain other special items as necessary.

*** Regulation G and other provisions of the securities laws regulate the use of financial measures that are not prepared in accordance with generally accepted accounting principles.
