      <title>ON Semiconductor Reports Third Quarter of 2009 Results</title>

&lt;p&gt;&lt;strong&gt;PHOENIX&lt;/strong&gt;&lt;strong&gt;, Ariz.&lt;/strong&gt;&lt;strong&gt; – Nov. 4, 2009 &lt;/strong&gt;&lt;strong&gt;–&lt;/strong&gt; ON Semiconductor Corporation  (Nasdaq: &lt;a href="http://www.onsemi.com/PowerSolutions/content.do?id=1116"&gt;ONNN&lt;/a&gt;) today announced that total revenues  in the third quarter of 2009 were $472.9 million, an increase of approximately 13  percent from the second quarter of 2009.   During the third quarter of 2009, the company reported GAAP net income of  $29.9 million, or $0.07 per fully diluted share.  The third quarter 2009 GAAP net income included  net charges of $41.0 million, or $0.09 per fully diluted share, from special  items.  The special item details can be  found in the attached schedules.  During  the second quarter of 2009, the company reported a GAAP net loss of $3.0  million, or $0.01 per fully diluted share.  &lt;br /&gt;&#xD;
  &lt;br /&gt;&#xD;
  Third  quarter 2009 non-GAAP net income was $70.9 million, or $0.16 per share on a  fully diluted basis.  Second quarter 2009  non-GAAP net income was $38.7 million, or $0.09 per share on a fully diluted  basis.  A reconciliation of these  non-GAAP financial measures (and other non-GAAP measures used elsewhere in this  release, such as non-GAAP gross margin and adjusted EBITDA) to the company’s  most directly comparable measures prepared in accordance with U.S. GAAP are set  forth in the attached schedules and on our website at www.onsemi.com.   &lt;/p&gt;&#xD;
&lt;p&gt;On  a mix-adjusted basis, average selling prices in the third quarter of 2009 were down  less than two percent when compared to the second quarter of 2009.  GAAP gross margin in the third quarter was 37.2  percent.  Non-GAAP gross margin in the third  quarter of 2009 was 38.5 percent.  GAAP  gross margin in the third quarter included a net charge of approximately $6.5  million, or approximately 130 basis points, from special items.  The special item details can be found in the  attached schedules.     &lt;/p&gt;&#xD;
&lt;p&gt;Adjusted  EBITDA for the third quarter of 2009 was $110.2 million.  Adjusted EBITDA for the second quarter of 2009  was $78.3 million.&lt;/p&gt;&#xD;
&lt;p&gt;“We  exited the third quarter of 2009 with the highest level of cash, cash  equivalents and short-term investments in the company’s history at over $470  million and the lowest net debt position in the company’s history at  approximately $425 million,” said Keith Jackson,  ON Semiconductor president and CEO.  “As  a result of the strong financial performance, financial discipline and cash  generating capabilities of the company we increased our cash, cash equivalents  and short-term investments by approximately $67 million from the prior quarter.  While there is still uncertainty as to how  quickly the semiconductor industry will return to pre-recession revenue levels,  our revenues continue to improve from the lows of the first quarter of 2009.  We also believe that the overall supply chain  remains very lean.  Our weeks of  distribution inventory were at the lowest level in the company’s history at  approximately 9 weeks exiting the third quarter of 2009.”  &lt;/p&gt;&#xD;
&lt;p&gt;“ON  Semiconductor Corporation has recently completed the acquisition of privately-held  PulseCore Holdings (Cayman) Inc. in an all cash transaction for initial  consideration of approximately $17 million.   PulseCore’s previous owners and other stakeholders also have the ability  to receive additional earn-out proceeds if, among other things, PulseCore is able  to meet certain revenue and gross margin objectives in 2010 and 2011.  The acquisition of PulseCore expands ON Semiconductor’s  high gross margin clock and circuit protection offerings for the consumer,  wireless and computing end-market customers.   PulseCore’s capabilities in standard and custom high-speed and low power  analog and mixed signal solutions for EMI (electromagnetic interference)  reduction also enhance ON Semiconductor’s overall EMI filtering and circuit  protection portfolios. In addition, PulseCore’s strong design capabilities and  history in India  represents ON Semiconductor’s first foray into design activity in that country.”  &lt;/p&gt;&#xD;
&lt;p&gt;&lt;strong&gt;FOURTH QUARTER 2009 OUTLOOK&lt;/strong&gt;&lt;br /&gt;&#xD;
  “Based  upon product booking trends, backlog levels and estimated turns levels, we  anticipate that total revenues will be approximately $480 to $495 million in  the fourth quarter of 2009,” Jackson  said.  “Backlog levels at the beginning of the fourth quarter  of 2009 were up from backlog levels at the beginning of the third quarter of 2009  and represent over 90 percent of our anticipated fourth quarter 2009  revenues.  We expect that average selling  prices for the fourth quarter of 2009 will be down approximately one to two percent,  sequentially.  Starting in the first  quarter of 2009, we began recording non-cash interest expense associated with  the adoption of FASB Staff Position No. APB 14-1* related to our convertible  senior subordinated notes.  In the fourth  quarter of 2009, we anticipate approximately $8 million of non-cash interest  expense associated with this adoption.  The  following table outlines our fourth quarter 2009 GAAP and non-GAAP outlook.” &lt;/p&gt;&#xD;

They also provide a low-noise,  reliable and space-saving alternative to mechanical potentiometers with the added benefit of immunity  to dust / dirt contamination and vibration.&lt;/p&gt;&#xD;
&lt;p&gt;The CAT5270  allows microprocessor control of up to 16 devices from a single bus, while the CAT5271 offers a single, fixed address. Both devices are available with end-to-end resistance options of 50 kilohms,  (kΩ) and 100 kΩ and can  be used as a potentiometer or as a 2-terminal, variable rheostat. The volatile wiper  register for both devices is set to mid-scale on power-up.&lt;/p&gt;&#xD;
&lt;p&gt;The  CAT5270 and CAT5271 are insensitive to mechanical vibrations,  shock, oxidation, dust, dirt and other contamination and are a fraction of the  size of mechanical potentiometers. They have a low temperature coefficient of  100 parts per million per degrees Celsius (ppm/ºC) making them much more stable  and reliable than mechanical potentiometers across a wide variety of  environmental conditions. &lt;/p&gt;&#xD;

Suitable for ASICs requiring up to 10 M gates, the ONC18 process features between four and six levels of metal and allows designers to integrate 1.8 volts (V) core voltage with 1.8 V and 3.3 V input/output (I/O).  Components for mixed signal design include a variety of resistors and nominal [1.0 femtofarad per micron squared (fF/µm2)] and high value (2.0 fF/µm2) stackable metal-insulator-metal (MIM) capacitors. This base process supports an extensive and modular 0.18 micron BCD, and high voltage roadmap. &#xD;
&lt;p&gt;&#xD;
ON Semiconductor’s new process is supported with a design kit offering comprehensive core, I/O and memory libraries. Gate densities and power consumptions for high density core and mixed signal core cells are 124 K gates/mm2 and 46 microwatt per megahertz per gate (µW/MHz/gate) and 120 K gates/mm2 and 28 µW/MHz/gate, respectively. Memory options include 1.1 M bit synchronous single port and 512K bit dual port SRAM and 1.1M bit high-density, low-leakage VIA-programmable ROM. &#xD;
&lt;p&gt;Future development for the ONC18 platform will enable ON Semiconductor to launch enhanced mixed signal capabilities and options for higher voltage handling.&#xD;

The NCP2830 operates from a supply voltage of between 2.7 volts (V) and 5.5 V, has a fast start-up time of 200 micro seconds (µS) and a superior power supply ripple rejection ratio (PSRR) of -88 decibels (dB). Overall efficiency is up to 89 percent and low noise performance is underlined by a signal-to-noise ratio (SNR) of 100 dB. An optimized Pulse Width Modulation (PWM) output stage gives the NCP2830 filterless capability that further reduces the number of external components required.&lt;/p&gt;&#xD;

&lt;p&gt;The NBXzzzzzz series of single- and dual-frequency modules &lt;/a&gt;provide ultra  low jitter and ultra low phase noise LVDS and LVPECL differential outputs  respectively. Applications include frequency control and high accuracy clock  trees in high speed LAN and WAN networking equipment, telecom base stations,  storage systems and high-end computing platforms.&lt;/p&gt;&#xD;
&lt;p&gt;All of the new modules use a low frequency, high Q  fundamental mode crystal and analog &lt;a href="http://www.onsemi.com/PowerSolutions/parametrics.do?id=2146"&gt;Phase Lock  Loop (PLL)&lt;/a&gt; multiplier to provide the high accuracy single- or dual-output  frequency. Typical RMS phase jitter is rated at just 0.5 picoseconds (ps) when  output Single Side Band (SSB) is integrated between 12 kilohertz (kHz) and 20 megahertz  (MHz). Output frequency options for single frequency modules are 161.13 MHz;  175.00 MHz; 187.50 MHz; 340.00 MHz; 425.00 MHz; 622.08 MHz. Dual frequency  modules offer user selectable output frequency of 106.25 MHz/212.50 MHz; 125  MHz/250 MHz; 155.52 MHz/311.04 MHz; 156.25 MHz/312.50 MHz; 200.00 MHz/400.00  MHz. This is the seventh consecutive year that ON Semiconductor has  won the award. &lt;/p&gt;&#xD;
&lt;p&gt;Products honored with this award  bear innovative designs, help realize significant technology improvement, or  make great achievement in price-performance ratio. The NCP1034 is a flexible synchronous pulse  width modulation (PWM) controller designed to operate from wide input supply voltage  range of up to 100 volts (V), making it suitable for +48 V, +60 V and +100 V power  supplies. The device also provides a 1 ampere (A) gate drive and is capable of  producing output voltage of as low as 1.25 V. &lt;/p&gt;&#xD;
&lt;p&gt;“The  NCP1034 is designed for high performance synchronous buck DC-DC applications  with wide input voltages of up to 100 V,” said the judging panel. “Its  synchronization feature allows the switching frequency to be set by an external  source or output a synchronization signal to multiple NCP1034 controllers.”&lt;/p&gt;&#xD;
&lt;p&gt;“It’s really a significant honor  to receive this award for the seventh consecutive year,” said Hemen   Cheng, ON Semiconductor global power supply segment sales and  marketing director for ON Semiconductor’s Computing and Consumer Products Group.  “It further demonstrates ON  Semiconductor’s continuous efforts on innovation and cost effectiveness. The  NCP1034 has the benefits of driving high efficiency FETs and providing fixed  frequency for one or more devices. It has a wide range of application areas, from  consumer electronics including LED backlighting for LCD TVs, to automotive, computing  and industrial.” &lt;/p&gt;&#xD;
&lt;p&gt;The NCP1034 drives a pair of external N-channel MOSFETs  using a programmable switching frequency of up to 500 kilohertz (kHz) which  allows flexibility to tune the operation of the IC to meet system level  requirements. The output voltage can be precisely regulated using the internal  1.25 V reference voltage for low voltage applications. Protection against  electrical faults, such as under voltage lockout and hiccup current limit, is  provided to give required system level security in the event of a fault. &lt;/p&gt;&#xD;
&lt;p&gt;Other features include external  frequency adjustment, programmable soft-start, programmable over current protection  and hiccup current limit using MOSFET RDS(on).&lt;/p&gt;&#xD;
